Specific services, pricing, deliverables, territories, lead criteria, timelines, payment terms, and responsibilities will be governed by a separate written proposal, order form, service agreement, supplier agreement, or other contract.
If a separate written agreement conflicts with these Terms, the separate agreement will control with respect to the subject matter of that agreement.
3. No Automatic Client Relationship
Using the Website, communicating with Interkey, completing an intake quiz, requesting pricing, or submitting an application does not automatically create:
A client relationship
A supplier relationship
An agency relationship
A partnership
A joint venture
A fiduciary relationship
An exclusive territory arrangement
A financing relationship
Any obligation for Interkey to provide or purchase services
A formal business relationship begins only when the applicable parties enter into a separate written agreement or Interkey expressly confirms otherwise in writing.
4. Intake Quiz and Submitted Information
You may be asked to provide information about your business through an intake form or questionnaire.
You agree that information you provide will be:

Completing the intake quiz does not guarantee acceptance into any program, pricing, territory availability, financing eligibility, or specific results.
Interkey may accept or decline an inquiry in its discretion, subject to applicable law.
5. Service Availability

A specific number of appointments
Revenue
Profit
Sales
Closing rates
Advertising costs
Cost per lead
Search rankings
Google Maps rankings
Website traffic
Financing approval
Territory performance
Business growth
A particular return on investment
Results may be affected by:

Pricing
Sales ability
Response time
Business reputation

8. Leads and Appointments
A lead represents an opportunity to communicate with a prospective customer. It does not guarantee that the person will:

The applicable client agreement will define terms such as:

Unless stated in a separate agreement, Website descriptions of leads or appointments are general explanations rather than contractual definitions.

Follow-up

Licenses

Workmanship

Contracts
Collections
Legal and regulatory compliance
Qualified Lead: a homeowner opportunity that meets the applicable qualification criteria.
Booked Appointment: a qualified homeowner opportunity for which a valid appointment has been confirmed through the approved scheduling workflow.
Qualified Lead Fallback: a qualified opportunity under a Booked Appointment service that cannot be booked for an approved fallback reason and is instead billed at the contracted fallback Qualified Lead price.
A Booked Appointment charge occurs after a valid appointment is confirmed.
A confirmed appointment remains billable if the homeowner later cancels.
A confirmed appointment remains billable if the homeowner no-shows.
A reschedule is the same appointment and does not create a second charge.
Once confirmed, an appointment does not later convert backward into a cheaper Qualified Lead.
Approved fallback situations can include things like:
No mutually acceptable appointment time
No calendar availability
Consumer wants the contractor to call before scheduling
Consumer wants service but will not choose a time
9. Lead Supplier and Seller Applications
The “Sell Us Your Leads” section allows prospective publishers, agencies, lead generators, and other suppliers to apply to work with Interkey.
Submitting an application does not require Interkey to:
Approve the applicant
Purchase leads
Accept a particular category or territory
Agree to a proposed price
Enter into an exclusive arrangement
Provide a minimum purchase volume
Any purchase, transfer, resale, licensing, distribution, or acceptance of leads will be governed by a separate Lead Supplier Agreement, Lead Purchase Agreement, or similar written contract.
Lead suppliers may be required to provide information concerning:
Traffic sources
Advertisements
Landing pages
Consent language
Form disclosures
Lead origin
Lead age
Exclusivity
Duplication
Compliance procedures
Recordkeeping
Consumer inquiries
Interkey may reject, suspend, investigate, or stop accepting leads that it reasonably believes may be fraudulent, inaccurate, duplicated, unlawfully generated, misleadingly obtained, or inconsistent with its requirements.
10. Customer Financing
Interkey may provide information about or introductions to third-party financing companies that allow participating businesses to offer financing options to their customers.
Unless Interkey expressly states otherwise in writing:
Interkey is not a lender.
Interkey does not extend credit.
Interkey does not make underwriting decisions.
Interkey does not determine applicant eligibility.
Interkey does not establish interest rates, repayment terms, fees, or credit limits.
Interkey does not guarantee financing approval.
Interkey does not control the financing provider’s application or funding process.
Financing products are provided by independent third parties and are subject to their own:

Approval processes
Businesses offering financing to their customers are responsible for complying with all applicable advertising, consumer-protection, lending, disclosure, and licensing requirements.
Interkey may receive compensation from a financing provider or referral partner where permitted by law. Any required disclosures concerning the relationship will be provided where applicable.
11. Communications
When you provide your contact information, you authorize Interkey to contact you regarding your inquiry, application, account, or requested services through methods permitted by law, which may include:

Marketing calls or texts will be governed by the consent language presented when you submit your telephone number and by our separate SMS Terms and Conditions.
Consent to receive marketing communications is not a condition of purchasing goods or services unless expressly and lawfully stated otherwise.

Providing a telephone number does not authorize Interkey to contact you in a manner prohibited by applicable law.

Interkey does not own or control these platforms and cannot guarantee:
Continuous platform availability
Account approval
Advertising approval
Profile verification
Search visibility
Ranking stability
API availability
Feature availability
Reinstatement after suspension
Continued access to a third-party account
Your use of a third-party platform may also be subject to that platform’s terms and policies.
Interkey is not responsible for actions taken independently by a third-party platform, including account suspension, advertisement rejection, algorithm changes, feature removal, or service interruption.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules.
To the extent a dispute is not subject to another valid written agreement between you and Interkey, the state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction over disputes arising from these Terms or use of the Website.
You consent to the personal jurisdiction and venue of those courts.
Nothing in this section prevents either party from seeking emergency or injunctive relief in another court with proper jurisdiction when reasonably necessary to protect intellectual-property, confidential-information, or security rights.
27. Informal Dispute Resolution
Before filing a lawsuit relating to the Website, you and Interkey agree to make a good-faith effort to resolve the dispute informally.

Interkey may update these Terms periodically.
When changes are made, the “Last Updated” date will be revised.
Changes will apply prospectively after the updated Terms are posted, except where:
Applicable law requires another process
A separate written agreement controls
Interkey specifically obtains renewed acceptance
Material changes will not retroactively alter a completed transaction or existing signed agreement unless legally permitted and properly agreed.
Continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms.
30. Electronic Communications
You agree that electronic records, notices, disclosures, and communications may satisfy legal requirements that such communications be in writing, to the extent permitted by law.
You are responsible for maintaining a working email address and accurate contact information.
This section does not independently grant consent to receive marketing calls or text messages. Marketing communications remain subject to the consent language presented at collection and our SMS Terms.
31. Assignment
You may not assign your rights or obligations under these Terms without Interkey’s written consent.

32. Severability

These Terms, together with the Privacy Policy, SMS Terms, and any terms expressly incorporated by reference, constitute the agreement between you and Interkey concerning use of the Website.
They do not replace any separate signed service agreement, proposal, supplier agreement, financing-provider agreement, or order form.
